Terms of Service

Effective Date: March 1, 2026

These Terms of Service ("Terms") govern your access to and use of the Rxperts Pharmacy Compliance platform ("Platform"), operated by Rxperts Pharmacy Compliance ("Rxperts," "we," "us," or "our"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Description of Service

Rxperts provides a cloud-based pharmacy compliance management platform that includes mock inspection preparation, compliance checklists, document management, employee OIG exclusion screening, credential verification, training management, and related services. The Platform is designed to help pharmacies maintain regulatory compliance and inspection readiness.

2. Account Registration

To use the Platform, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access to your account
  • Ensuring that all information you provide is accurate and up to date

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

3. HIPAA Provisions

Rxperts operates as a Business Associate under HIPAA when processing Protected Health Information (PHI) on your behalf. Our obligations are governed by:

  • The HIPAA Privacy Rule (45 CFR Part 164, Subpart E)
  • The HIPAA Security Rule (45 CFR Part 164, Subpart C)
  • The HIPAA Breach Notification Rule (45 CFR Part 164, Subpart D)
  • The Business Associate Agreement (BAA) executed between Rxperts and your organization

By using the Platform, you acknowledge that a Business Associate Agreement must be executed before any PHI is processed through the Platform. The BAA is presented during the onboarding process and must be accepted before accessing compliance features.

Rxperts is not a Covered Entity. The Platform provides compliance tools and consulting services, but ultimate responsibility for HIPAA compliance remains with the pharmacy (Covered Entity).

4. PHI and Data Handling

Your Responsibilities:

  • Only upload PHI that is necessary for the compliance services you are using
  • Ensure that your staff are trained on HIPAA requirements before accessing the Platform
  • Report any suspected security incidents or unauthorized access immediately
  • Maintain appropriate access controls within your organization

Our Responsibilities:

  • Implement administrative, physical, and technical safeguards for PHI
  • Restrict PHI access to authorized personnel using the minimum necessary standard
  • Maintain an immutable audit trail of all PHI access
  • Report breaches of unsecured PHI as required by HIPAA
  • Return or destroy PHI upon termination of the business relationship

5. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable regulations
  • Attempt to gain unauthorized access to other users' accounts or data
  • Upload malicious files, viruses, or code designed to disrupt the Platform
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Share your account credentials with unauthorized individuals
  • Use automated tools to scrape, crawl, or extract data from the Platform
  • Circumvent security measures, access controls, or audit logging

Violation of these terms may result in immediate account suspension or termination.

6. Subscription and Billing

Access to the Platform requires a paid subscription. Subscription plans, features, and pricing are described on our pricing page and may be updated from time to time.

  • Payment: Subscriptions are billed monthly or annually through Stripe. Payment is due at the start of each billing cycle.
  • Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
  • Refunds: Refunds are handled on a case-by-case basis. Contact support for refund requests.
  • Plan Changes: Upgrades take effect immediately. Downgrades take effect at the next billing cycle.

7. Intellectual Property

The Platform, including its design, code, features, content, and documentation, is the property of Rxperts and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose during your subscription period.

You retain ownership of all data, documents, and information you upload to the Platform. By uploading content, you grant us a limited license to process, store, and display it as necessary to provide the services.

8. Limitation of Liability

To the maximum extent permitted by law, Rxperts shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

The Platform provides compliance tools and consulting support, but does not guarantee regulatory compliance. Pharmacies remain solely responsible for their own compliance with federal, state, and local regulations. Rxperts is not liable for any fines, penalties, or enforcement actions resulting from a pharmacy's failure to comply with applicable regulations.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid for the Platform in the 12 months preceding the claim.

9. Termination

Either party may terminate the relationship under the following conditions:

  • By You: Cancel your subscription at any time through account settings
  • By Us: We may suspend or terminate your account for violation of these Terms, non-payment, or if required by law

Upon termination:

  • Your access to the Platform will be revoked
  • You may request a copy of your data within 30 days of termination
  • PHI will be returned or destroyed in accordance with the BAA
  • Audit logs will be retained for the minimum period required by HIPAA (6 years)

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or completely secure.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in New York County, New York.
